LEAD GROUP BYLAWS

Chapter Format:

  • Each Chapter is not to exceed 20 members.  Each member is expected to invite professional women within core professions not being currently held in their chapter.

  • Members are welcome to attend other Holland Women's Business Network LLC chapter meetings should their profession be open in that chapter.  Member must contact Chapter President of visiting chapter for pre-approval 24 hours before attending.

Chapter Board:

  • Each chapter has its own board that the chapter members are held accountable to. The chapter board is held accountable to the Leadership Team. The positions are as follows,

  • Chapter Board Positions:

President - Leads chapter meetings, accountable to Leadership Team 

Vice President - Back up to the president, take minutes 
Membership - Tracks attendance, identifies core profession opportunities, application processing

Confidentiality:

  • Each member is expected to keep Holland Women's Business Network LLC business confidential. If there is any question on if something is confidential or not it is the members’ responsibility to ask her chapter president. An example would be any Holland Women's Business Network LLC business posted on the member log-in page or chapter board log-in page

 

Applicants:

  • Guests requesting to join Holland Women's Business Network LLC are required to submit an application by online application of their intent to join. New member requests are to be approved by the chapter board. All newly approved Applicants must have membership dues submitted within 48 hours after submitting the application.  The applicant could forfeit keeping their core profession slot in their attending chapter should payment not be made within the time allotted.

  • Should the application not be approved, payment will be returned within 5 business days.

  • Applicant must attend two consecutive meetings during application process.

  • Chapter President will contact the applicant via email within 4 weeks of submitted application with final decision. This holds as long as the applicant has attended two consecutive meetings. If not, 2-3 more weeks will have to be added onto the process.

  • Chapter Membership will then send an welcome email to all chapter-wide members.

Application Process (renewal):

  • Renewal application must be submitted online.

  • After submission your current chapter board will review and vote. This could take up to two weeks.

  • Annual Membership Dues:

    • $297 - Rise Membership

    • $347 - Shine Membership

    • $497 - Soar Membership

  • *All dues are subject to change with or without notice.

New Member Orientation:

  • Each new member must complete a “New Member Orientation” at the first orientation available, following the approval of their application. Would be completed by the Vice President. 

 

Attendance:

  • Meetings are held twice a month, day and time may vary between chapters. However the standard chapter meeting times are noon – 1:00.

  • Because we strive to protect Holland Women's Business Network LLC's value to all who have paid for membership, we must impose an attendance requirement. Three (3) missed chapter meetings, during one membership year, will result in the termination of your membership and the opening of your core profession within your chapter.

  • A substitute may be utilized in the event a member will be absent from a chapter meeting to use. If a member chooses to use a substitute, the member will not penalized for their absence. A substitute's core profession cannot conflict with any current core professions represented. 

 

  • If you foresee your attendance to be a problem, please contact your chapter president for advice. In certain circumstances, exceptions can be made. Please contact your Chapter President if you are concerned about your current or future attendance.

 

  • Members are to communicate to the chapter president if they cannot attend the meeting. It is the responsibility of the chapter membership to track how the attendance of each chapter member of each chapter member. Chapter president must include this in monthly report to Leadership Team.

  • If a member has missed two meetings, the chapter membership must communicate this via email to the Leadership Team, including the dates of absences. Following a notification to the Leadership Team, which will send an email (formal notification) to the member, explaining that they have only one absence left to be used before their core profession will be opened (template). Any membership dues paid and monies submitted towards an upcoming event will not be refunded. We encourage the chapter president to communicate in person with this member before sending the template email so there is no mis-understanding and the member is expecting the required, formal notification.

 

  • If a member has indeed missed three meetings, they may email the Leadership Team an appeal. Once this appeal is made to the Leadership Team, a review of the member’s activity (i.e. referrals given, referrals/testimonials received, and guests brought) will be completed with the chapter board president. If the Leadership Team and the chapter president feel the member is truly an active and participating chapter member, they may make the decision to extend additional absences to this member. The chapter president and/or Leadership Team will notify the appealing member as soon as a determination is made (no longer than 14 days).

 

Meeting Cancellation:​

  • If area school is closed due to weather, on a chapter meeting day there will not be a meeting held. This stands with all chapter events. It is up to the chapter as to which school district the chapter will follow for these guidelines as it will vary from chapter to chapter.

  • If there is a Holland Women's Business Network LLC event on the day that schools are cancelled, it is up to the chapter board to make the decision whether to cancel the event or not.

Meeting Structure:

  • Meetings are structured with an agenda to ensure business is handled in a professional and efficient manner. Our number one objective is for each member to have a great time building their business through direct referrals and sharing testimonials about using each other’s services.

  • Meeting layout

    • Guest & new member introduction/ member 5 sec. intro./announcements/communicating events/community involvement

    • Member presentation

    • Member commercial/testimonials

 

Guests:

  • If a guest was brought by a member, the member may introduce the guest.

  • RSVP’s are highly recommended for guests to attend a chapter meeting or event. This is to make sure there are no guests with conflicting core professions with current members. RSVP’s for chapter meeting are to be given to chapter secretary through email. 

 

Housekeeping:

  • There will be times when a member needs to communicate to another about a referral, an email that was exchanged, etc. This is business that needs to be taken care of before or after the meeting privately and not in front of the guests or other members. We strive to keep a professional atmosphere at our chapter meetings, kindly take care of your “Holland Women's Business Network LLC business” outside of the chapter meetings.

 

Member Presentations:

  • As a member you have the privilege to present about your business throughout the year. Utilize this opportunity as a way to educate the other members of your chapter on what you do, why their network should prefer you over your competition, and how best to refer leads to you. Educate your fellow Holland Women's Business Network LLC members on what you do and help them with language so that they may be a better sales force for you!

 

Networking Events:

  • After Hours/Recruiting Mixers – Each member of the chapter hosting the event is expected to attend. The purpose of these is for growing the chapter and building relationships with the fellow members. These events are used to open up new chapters for new members to join, enable others to learn more about Holland Women's Business Network LLC and networking your own business with other professional business women. 

 

Marketing:

  • The Leadership Team must pre-approve all marketing materials and public events before any marketing or advertising is done. The Leadership Team must also pre-approve all chapters’ use of the company name or logo on any marketing or advertising in print or virtual. Pre-approved marketing postcards/flyers, templates, business cards and any other promotional items are available upon request to the Leadership Team from the chapter president.

 

Social Networking and Communication:

  • Holland Women's Business Network LLC has Facebook, Instagram and LinkedIn accounts for the reason of having the followers/friends/connections view what chapter meetings, speakers and events are coming up. This in return helps us all with growth and getting the word out about Holland Women's Business Network LLC!

Privacy Policy (members):

  • Members are absolutely NOT to send emails out to the entire membership of Holland Women's Business Network LLC, for any reason. This is crucial that we respect a process for the dissemination of information to the members.

Non-Compete:

  • For a period of twelve (12) months from the “Separation Date” that a member leaves Holland Women's Business Network LLC (whether voluntarily, by dismissal, by leave of absence, or otherwise becomes not a current member of the company), the Member agrees that the Member shall not do any of the following, whether directly or indirectly, for her own account or in conjunction with any other person or company, whether as an employee, shareholder, partner, investor, principal, agent, representative, proprietor, consultant, or in any other capacity, do any of the following:

    • (a)        canvas, solicit, or accept orders or business of any kind relating to the equipment, supplies, production work, and/or services sold or provided by, or that are substantially similar to those sold or provided by, the Company from any customer or active prospect customer (collectively “Customer”) of the Company;

    • (b)        request or advise any individual or company that is a Customer to withdraw, curtail, or cancel any such Customer’s actual or prospective business with the Company;

    • (c)         induce or attempt to induce any Customer to patronize any business that is competitive with the Company; or

    • (d)        establish in any employment or business in competition with the Company in the geographic area served by the Company, including the following counties in the State of Michigan: Ottawa, Kalamazoo, Allegan, Van Buren, Saint Joseph, Berrien, Cass, Barry or Calhoun. For purposes of this subsection, “competition with the Company” is defined as competition with the division of the Company in which Member worked or concerning which Member had access to Confidential Information and/or the Company’s customer relationships.

    • (e)        Member current or past may not speak negatively about Holland Women's Business Network LLC in a way that would hurt the company’s reputation or other members/board members/owner reputation in the community.

  • Violations of the above contract, in whole or in part, may be subject to litigation.

 

Dismissal:

  • This is used as a last resort and decided by the Leadership Team. If a member is dismissed they are not eligible to any dues or monies invested. Nor may they re-apply or attend any future Holland Women's Business Network LLC chapter meetings or events.

 

Suspension:

  • This is used if a member has violated any part of the bylaws. The Leadership Team are the only ones that may make this decision for a member.

 

Conclusion:

  • I hereby submit to the bylaws of Holland Women's Business Network LLC as stated. I understand that my membership may be dissolved if I have not complied with the membership bylaws with or without warning. The Leadership Team has the option to place a member on suspension if deemed necessary and fit for the accusation infraction, after vote.

  • I understand that this membership is for one person per core profession, and that I may only speak about the core profession that I am holding under my membership and not a second profession if it so applies. This applies to all chapter/network meetings. I understand that if this is violated, I may be excused from my membership- upon chapter president and owner review.

  • I understand that I must be an active member that includes: bringing guests to meetings and functions, giving quality referrals, and being involved in chapter/network functions as stated.

  • I understand that I give Holland Women's Business Network LLC permission to use my company and employee information for the profile on the Holland Women's Business Network LLC website.

  • Holland Women's Business Network LLC reserves the right to make any updates to the bylaws when deemed necessary by the Leadership Team. Members will receive an updated version either by email within 5 business days of update.

  • I understand that if I leave my company that I applied for membership with and membership dues are paid by my employer, the same company may send a replacement to finish the remainder of my membership year. However, the new employee must go through the application process and be approved before the chapter board may allow the new employee to act as a replacement. If applicant is denied there will be no refund or monies invested returned.

  • Member renewal is to be completed by one year and one day after approval date or the member forfeits their core profession position being held.
